Governance

Business Redirections is well equipped to offer essential guidance to both listed and private companies and businesses, assisting them in implementing effective corporate governance practices to optimise overall company performance. The services encompass not only advice on corporate governance “best practices” but also include mentoring for business owners and managers, as well as undertaking non-executive board roles and active participation in advisory boards, thereby offering valuable external perspectives and strategic insight.

Advisory Services

Business Redirections provides an extensive range of corporate advisory services including:

  • Assistance with contract drafting, review and negotiation
  • Due diligence (for both buyers and sellers), including establishment of due diligence processes and data rooms and process management (for sellers) and undertaking due diligence reviews and providing appropriate reports (for potential buyers)
  • Strategic & structuring advice and documentation (companies, partnerships, joint ventures, unincorporated associations), including “exit strategies” for owners of private companies and businesses; business reviews; strategic direction and plans; business plans; reporting systems
  • Mergers & Acquisitions (acquisitions and sale of companies and businesses, including preparation of information/sale memoranda; arranging business valuations; assistance with the preparation/negotiation of sale/purchase agreements and associated documentation; business integration post-acquisition)
  • Restructuring (business and corporate restructuring/reorganisation; advising management/shareholders of financially distressed companies; advising insolvency administrators on asset realisations and restructuring; representing creditors of insolvenbt companies)

Resident Directorship Services

One of the services Alan Frees and Ian Pyman provide is acting as the resident director of Australian subsidiaries of foreign parent companies so that the company can comply with the director residency requirements of the Corporations Act 2001 (C’wlth).

The terms of this service and the fees charged by Business Redirections are based on whether the Australian company is an operating or non-operating entity.

Business Redirections is also prepared to consider requests for Alan or Ian to be appointed as the public officer of an Australian company where one (or both) of them is appointed as the resident director. An appointment of this nature is subject to a separately negotiated fee.

The following are links to the current Terms Sheet relating to the provision of these services by Business Redirections and the standard Deed of Appointment & Indemnity that Business Redirections requires to be entered into as a condition of accepting such appointments.

Charities & Not-for-profits

Business Redirections has acted for many years for numerous charitable organisations and not-for-proft (NFP) bodies, particularly schools and other educational bodies, and sporting organisations.

Services include:

  • Preparation of constitutions, rules, by-laws, etc
  • Governance advices and presentations to management and governing bodies, including:

In addition, Alan and Ian are willing to consider appointments to governing bodies of charitable and NFP bodies, &/or advisory boards.
